Key Management and Operating Personnel

CEO, Colin M. Cashel
Mr. Cashel has held several positions within the banking industry. He joined Brown Brothers Harriman & Co in 1994, in the Global Custody & Accounting Services Group, primarily, working on the cash and securities management of emerging market accounts for the firm's largest client. He later managed the domestic side of the team responsible for servicing and developing the bank's largest client relationship with $185 billion in assets under custody. Within this role, Mr. Cashel not only managed the day to day operations of his team which included over 3,000 daily transactions equal to approximately 10% of the NYSE volume, but also worked on a variety of software product launches to enhance the banks internal and external processes and services. Cashel's team developed a global cash management product and a same day funds solution to solve the client's short-term cash management problems. In addition, Mr.Cashel worked as an Associate in London on the Structured Finance deal team, for BankBoston where he modeled, analyzed and structured investment banking transactions for private equity and LBO firms.

Director of Product Development D. R. Widder
D.R. Widder has been involved in several high tech startup companies, including founding a consulting company focused on business and product development for early stage companies. Mr. Widder worked for PDVSA (Petroleos de Venezuela), the second largest oil company in the world, analyzing the business strategy of outsourcing information technology in the utility industry. Mr. Widder also has extensive software and systems development experience. After earning his Masters in Electrical Engineering, he has been involved in designing complex technical systems and managing design and implementation teams. One system, UMAD, is currently used in all Federal Reserve Banks in the United States, facilitating 14 Billion transactions yearly. Currently, he serves as an advisor to three software/internet companies.

Director of Operations, Aljit Joy
Aljit Joy has held positions in management consulting and in operations in the hospitality industry. While at A.T. Kearney, Mr. Joy was an associate on a strategic sourcing assignment for a Fortune 200 consumer-products client. Mr. Joy has held managerial positions in accounting and operations divisions in the hospitality industry. While employed by Interstate Hotels, Mr. Joy was responsible for day to day operations, customer care and management, creation of training systems, and personnel -related activities for his departments. In addition, Mr. Joy has experience in accounting in the hospitality industry and was responsible for a substantial overhaul of the accounts receivables for a $18 million per year revenue operation. Mr. Joy will be responsible management of ePower's daily operations.

Director of Finance, Dave Muccia
Mr. Muccia has held several positions in the area of investment banking and fixed income trading. During the two years he worked at the Weston Group in NY, he worked as analyst in the investment-banking department concentrating on the refinancing of distressed Latin American companies. As a fixed income trader he was responsible for trading securities including Euro-bonds, Euro-converts and short-term commercial paper. During that time, Mr. Muccia was responsible for overseeing the companies security clearing operation, handling the processing and payment of multi-million dollar transactions with foreign clients. In addition, Mr. Muccia was employed by Fleet Financial Group, as an investment banking Associate, where his work focused on modeling and structuring transactions such as Leveraged Buyouts, mezzanine financing, loan syndication and mergers and acquisitions.

Director of Marketing
A key member of our team will be a sales expert with extensive experience selling to the utility industry. As this is an important component in ePower's success, significant equity is reserved to attract a top candidate for this role.

Legal Structure
The company name, ePower Systems, has been reserved for incorporation. The company will be initially formed as an S Corporation.

Owners
The founders and owners of ePower Systems Inc. are the same as the current management team mentioned above.
